Responsibilities
- Draft, review and negotiate a broad range of contracts, including land acquisition agreements, construction contracts, service/consultancy agreements, joint venture agreements, lease agreements, and property management agreements.
- Provide timely and practical legal advice to management team and other departments on real estate, corporate, regulatory, and commercial matters.
- Manage and support legal due diligence for land purchases, project development, JV partnerships and corporate transactions; identify legal risks and recommend mitigation.
- Support structuring and documentation of joint venture and partnership arrangements, equity agreements, and shareholder agreements.
- Monitor changes in laws, regulations and industry practice relevant to real estate development (e.g., property law, consumer protection law, construction law, foreign ownership restrictions) and ensure company compliance.
- Coordinate and liaise with external law firms, regulators, authorities and relevant government agencies; manage litigation, arbitration or mediation as required.
- Support internal stakeholders (project, sales, operations, corporate governance) on legal risk, contract management, compliance and documentation standardization.
- Develop and maintain standard contract templates, legal policies, and SOP, train relevant internal stakeholders on legal considerations and risk awareness.
Qualifications
- Bachelor’s degree in law (LLB) or equivalent; master’s degree in law or related field a plus.
- Licensed attorney in Thailand preferred (advantageous).
- Minimum 8-10 years of experience in in-house legal roles or law firm practice, preferably in real estate or property development industry.
- Strong experience drafting, reviewing and negotiating complex commercial contracts and JV/shareholder agreements.
- Hands-on experience in legal due diligence, structuring/transaction support, and risk mitigation in property/development context.
- Proven track-record handling consumer complaints, dispute resolution, regulatory investigations (particularly consumer protection, homeowners' issues) or litigation support.
- Excellent understanding of Thai real estate law, land law, lease/sub-lease, construction law, company law and consumer protection regulations.
- Ability to communicate fluently in Thai and good command of English (both spoken and written).
- Strong analytical, problem-solving, negotiation and stakeholder management skills; ability to operate in a fast-paced development environment.
- High level of integrity, pro-active mindset, ability to priorities multiple tasks and work under pressure.
