1. Contract Review

    • Review all supply, installation, and maintenance contracts — both company-drafted and client-provided versions                    

    • Verify legal completeness under the Civil and Commercial Code (CCC) and other applicable Thai laws

    • Review English-language contracts including international standards such as FIDIC, NEC, and cross-border procurement agreements

    • Compare and reconcile Thai and foreign-language versions of bilingual contracts to identify discrepancies

2. Risk Identification & Analysis

    • Identify clauses that may create unlimited or uncapped liability exposure

    • Scrutinize Penalty Clauses, Liquidated Damages, and unbalanced Indemnification provisions

    • Assess financial risk in Milestone Payment schedules and Retention terms

    • Flag provisions potentially in conflict with the Unfair Contract Terms Act B.E. 2540 (1997)

3. Competitive Advantage & Protection

    • Propose contract revisions that improve the company's position while preserving client relationships

    • Collaborate in developing standard Contract Templates for both Thai and international clients

    • Define favorable Governing Law, Jurisdiction, and Dispute Resolution clauses in cross-border agreements

4. System Development & Reporting

    • Develop Contract Review Checklists segmented by contract type

    • Prepare Red / Amber / Green risk summary reports for management review

    • Maintain a contract repository with tracked Expiry Dates and Renewal schedules

    • Provide legal guidance to Sales and Operations teams on contract-related queries

• Bachelor's degree or higher in Law or a related field

• Minimum 3 years of experience in commercial contract law

• Demonstrated ability to read and interpret contracts accurately in English (TOEIC 750+ or equivalent)

• Solid knowledge of the Civil and Commercial Code, particularly in juristic acts and contracts

• Experience in the construction, engineering, or capital equipment industry

• Familiarity with international standard contracts such as FIDIC or ICC

• Licensed attorney (will be given special consideration)

• Experience with Contract Lifecycle Management (CLM) software
