Responsibilities
- Formulate comprehensive litigation strategies and lead the management of all lawsuits, legal disputes, arbitration, and mediation processes to safeguard organizational interests.
- Oversee, monitor, and direct all stages of legal proceedings, court cases, enforcement actions, and dispute resolutions.
- Select, evaluate, and manage relationships with external legal counsels and law firms, directing their performance on litigation matters and optimizing legal expenditures.
- Analyze and assess potential legal exposure, risk impacts, and success probabilities of pending and threatened litigation, presenting strategic solutions to senior management and the Board of Directors.
- Provide comprehensive, high-quality legal advice, opinions, and support to senior executives and all business functions to prevent and minimize future legal disputes.
- Review, draft, and negotiate complex, high-value commercial contracts and legal documentation to ensure robust legal protection and eliminate liability loopholes.
- Establish and implement proactive legal risk identification, mitigation strategies, and preventative legal frameworks across all business operations.
- Establish, implement, and oversee enterprise-wide compliance policies, strategies, and governance frameworks in strict alignment with applicable laws and regulatory expectations.
- Ensure absolute compliance with requirements of relevant regulatory authorities, including but not limited to the Bank of Thailand (BOT), Securities and Exchange Commission (SEC), Office of Insurance Commission (OIC), and other governing bodies.
- Monitor, interpret, and assess the strategic impact of new laws, regulations, and regulatory shifts on business models and corporate initiatives.
- Lead and maintain full accountability for the organization’s Personal Data Protection Act (PDPA) compliance as a critical and standalone responsibility.
- Formulate, implement, and maintain PDPA policies, consent management frameworks, and internal controls throughout the data lifecycle.
- Lead, manage, mentor, and elevate the capabilities of the internal Compliance & Legal team.
- Collaborate closely with Risk Management and Internal Audit functions to enhance corporate governance, internal controls, and ethical standards.
- Promote and embed a compliance-led and legally aware culture across the organization, prioritizing ethical conduct and regulatory adherence.
Qualifications
- Bachelor's degree in Law (LL.B.) or a higher legal qualification.
- Possession of a valid Thai Attorney-at-Law license (ตั๋วทนาย) and full qualification to practice and plead cases in court. Thai Barrister-at-Law (น.บ.ท.) is a plus.
- Minimum of 10 years of experience in litigation, legal affairs, and compliance, with a strong preference for candidates from regulated industries (e.g., Real Estate, Financial Services, Insurance, or Securities).
- Extensive, hands-on experience representing organizations in court, with a documented track record of personally handling, arguing, and managing legal cases from initiation to conclusion.
- Advanced interpersonal and advocacy skills to represent the organization in high-stakes negotiations with public and private sectors, ensuring optimal outcomes within legal boundaries.
- Demonstrated ability to build, maintain, and leverage strategic connections with key regulatory authorities (e.g., SEC, SET, Ministry of Commerce, BOT) and a proven track record of effectively navigating complex government processes.
- Strong hands-on experience in regulatory compliance management and comprehensive PDPA implementation.
- Exceptional leadership, analytical, and risk-management skills, with a proven ability to lead and develop a high-performing Compliance & Legal team.
