Responsibilities
- แจ้งมติและนโยบายของคณะกรรมการและผู้ถือหุ้นให้ผู้บริหารที่เกี่ยวข้องรับทราบ พร้อมทั้งให้คำปรึกษาและข้อเสนอแนะเบื้องต้นแก่คณะกรรมการตามระเบียบปฏิบัติของบริษัทและข้อพึงปฏิบัติด้านการกำกับดูแลกิจการที่ดี
- จัดทำและจัดเก็บเอกสารดังนี้ (ก) ทะเบียนกรรมการ (ข) หนังสือนัดประชุมคณะกรรมการรายงานประชุมคณะกรรมการและรายงานประจำปีของบริษัท (ค) หนังสือนัดประชุมผู้ถือหุ้นและรายงานการประชุมผู้ถือหุ้น
- จัดการประชุมผู้ถือหุ้น ประชุมคณะกรรมการ รวมทั้งติดต่อสื่อสารกับผู้ถือหุ้นทั่วไปให้ได้รับทราบสิทธิต่างๆของผู้ถือหุ้น
- เป็นผู้ประสานงานระหว่างคณะกรรมการและผู้บริหารพร้อมทั้งให้ข่าวสารและข้อมูลแก่กรรมการในประเด็นที่เกี่ยวข้องกับการประกอบธุรกิจของบริษัท รวมถึงรายงานการเปลี่ยนแปลงที่มีนัยสำคัญแก่กรรมการทราบ
- ดำเนินการอื่นใดเพื่อให้เป็นไปตามกฎหมายว่าด้วยหลักทรัพย์และตลาดทรัพย์ รวมถึงกฎหมายและข้อบังคับอื่นๆ ที่เกี่ยวข้อง
Qualifications
- ไม่จำกัดเพศ อายุระหว่าง 31-40 ปี
- วุฒิการศึกษา ป.ตรีขึ้นไป สาขานิติศาสตร์ บริหารธุรกิจ บัญชีการเงิน หรือสาขาอื่นที่เกี่ยวข้อง
- มีความคล่องแคล่วในการสื่อสารประสานงาน และความเป็นมืออาชีพในการทำงานกับผู้บริหารระดับสูง
- มีทักษะการคิดวิเคราะห์และแก้ปัญหาเฉพาะหน้า มีความยืดหยุ่นและปรับตัวได้ดี
- มีความรู้ด้านการจัดทำเอกสารสำคัญของบริษัท (เช่น กฎบัตร นโยบาย รายงานการประชุม)
- ต้องเคยทำงานในบริษัทมหาชน มีความรู้ด้านกฎหมายบริษัทมหาชนจำกัด และกฎหมายที่เกี่ยวข้อง
