Responsibilities
Role Overview
Horizon Group is a multi-brand sleep, ergonomic furniture, and wellness company with operations across Thailand, Taiwan, Vietnam, Malaysia, and Singapore. Reporting to the Managing Director, this is a standalone in-house legal role covering the full spectrum of corporate, commercial, regulatory, and compliance work across all Group entities. The right candidate is equally comfortable drafting intercompany agreements, filing trademarks, appearing at court hearings, and running compliance reviews.
Key Responsibilities
Contract Management
- Draft, review, and maintain all commercial contracts — service, supplier, IP licensing, distribution,lease, and intercompany; keep a centralised registry with expiry tracking.
- Review cross-border agreements across all operating jurisdictions; flag issues and coordinate with local counsel where needed.
- Draft and negotiate bilingual contracts in Thai and English; ensure legal equivalence between versions.
Regulatory & Government Affairs
- Handle all corporate and statutory filings with DBD, OCPB, DIP, and other relevant agencies (BOJ.01, annual returns, capital changes); support product teams on TISI, FDA, and NBTC submissions and maintain the master certificate registry.
- Attend regulatory inquiries, inspections, and hearings in person as company representative.
Litigation & Dispute Resolution
- Attend court hearings and quasi-judicial proceedings (OCPB, FDA, labour court, civil court) as company representative.
- Instruct and coordinate external litigation counsel; prepare authorisation letters, evidence bundles, and supporting documentation.
- Handle internal legal actions — misconduct investigations and information-leakage incidents — incoordination with HR.
Intellectual Property
- File and renew trademarks directly with DIP (Thailand) and via WIPO for all Group brands; instruct local agents for other jurisdictions and monitor watch notices.
- Advise on IP ownership provisions in commercial contracts, marketing agreements, and product licensing.
Corporate Governance
- Maintain statutory books, director/shareholder registers, and company seals for all Group entities.
- Coordinate with law firms in Singapore, Taiwan, and Vietnam for jurisdiction-specific filings; ensure structural changes are reflected across all entity records.
- Prepare and maintain Board of Directors minutes; draft resolutions for reserved matters and ensure decisions are properly recorded and filed.
- File corporate changes with DBD — capital increases/reductions, director changes, address changes, and business scope amendments.
- Manage intercompany agreements across the Group structure; maintain nominee shareholder documentation and ensure proper disclosure in audited accounts.
Compliance
- Own the Group compliance calendar; conduct quarterly compliance reviews across all entities and communicate material changes to relevant business unit heads.
- Support PDPA compliance — data processing agreements, privacy notices, and vendor data-sharing arrangements.
General Legal Advisory
- Review marketing materials, campaigns, and promotional content for compliance with consumer protection, advertising, and IP laws.
- Act as first point of contact for legal queries from all business units; escalate to external counsel where needed.
Qualifications
Qualifications & ExperienceEssential
- LL.B. or LL.M. from an accredited Thai or international university.
- Minimum 3 years post-qualification experience in corporate/commercial legal work — law firm, in-house, or both.
- Solid commercial law foundation: contract law, corporate law, consumer protection, IP, and regulatory compliance.
- Demonstrable experience attending court hearings or government inquiries independently.
- Bilingual — drafts, reviews, and negotiates contracts in Thai and English without translation support.
