Responsibilities

Corporate Legal & Governance
  • Provide legal advice on corporate structuring, governance, and group entity management in Thailand. 
  • Ensure compliance with Thai corporate laws, including company registration, licensing, and statutory filings. 
  • Support board meetings, shareholder resolutions, and maintenance of corporate records. 
Foreign Investment & Regulatory Advisory 
  • Advise on Thai foreign investment laws, including restrictions under the Foreign Business Act (FBA) and applicable investment promotion regulations. 
  • Support market entry strategies, including entity setup, joint ventures, and partnership structures. 
  • Liaise with relevant Thai authorities (e.g., BOI, DBD, ERC, and other regulatory bodies) for permits, licenses, and approvals. 
  • Ensure ongoing compliance with foreign ownership, licensing, and sector-specific regulations for renewable energy projects. 
Commercial Contracts Management
  • Draft, review, and negotiate a wide range of commercial agreements, including service agreements, supply contracts, NDAs, and term sheets. 
  • Ensure contractual terms align with legal requirements and company risk policies. 
  • Provide practical legal advice to internal stakeholders on contractual matters. 
Compliance & Risk Management
  • Develop, implement, and monitor compliance frameworks, policies, and procedures. 
  • Conduct legal risk assessments and provide mitigation strategies. 
  • Support internal audits, investigations, and due diligence activities. 
  • Ensure compliance with local laws, international standards, and internal governance policies. 
Project & Energy-Related Legal Support 
  • Provide legal support for renewable energy project agreements, including PPAs, EPC contracts, O&M agreements, and related documentation. 
  • Review and advise on contractual risks and regulatory compliance requirements related to project execution. 
  • Coordinate with project, engineering, and commercial teams to ensure legal alignment. 
Dispute Resolution & Legal Advisory
  • Manage disputes, claims, and potential litigation in coordination with external counsel. 
  • Provide strategic legal advice to minimize risk exposure and support business decision-making
Cross-Functional & Strategic Support
  • Collaborate with internal teams such as Finance, HR, Business Development, and Project Development. 
  • Support mergers, acquisitions, joint ventures, and other strategic initiatives in Thailand and the region as instructed by Group Legal. 

Qualifications

  • Bachelor of Laws (LL.B.) or Juris Doctor (J.D.); licensed to practice law in Thailand.
  • Minimum of 5–10 years of legal experience, preferably in corporate law, foreign investment, or renewable energy/infrastructure sectors.
  • Strong knowledge of Thai legal and regulatory frameworks, particularly foreign investment laws and energy regulations.
  • Strong expertise in corporate, commercial, and regulatory law in Thailand
  • In-depth understanding of foreign investment regulations and compliance frameworks
  • Experience handling cross-border transactions and multi-jurisdictional compliance.
  • Exposure to renewable energy contracts (PPAs, EPCs) is an advantage but not required as a core specialization.
