The Senior Legal and Compliance Counsel Specialist will assume dual responsibilities as Legal & Compliance Counsel and Legal Administrator, with key duties outlined below.
1. Legal & Compliance Counsel
1.1 Draft, review, revise, and negotiate legal documents, including agreements, contracts, MOUs, NDAs, and other related legal instruments, to ensure compliance with applicable laws and regulations. (Primary focus on Thai-language rental and procurement agreements.)
1.2 Monitor, analyze, and provide updates on relevant business laws and regulations to management, and work closely with internal departments on matters relating to collections, litigation, and coordination with government authorities.
1.3 Prepare clear, practical, and well-reasoned legal opinions in support of the Company’s business operations and decision-making.
1.5 Assist in establishing, implementing, and maintaining regulatory compliance frameworks, internal policies, and procedures in accordance with applicable laws in Thailand.
1.6 Demonstrate strong knowledge and practical understanding of the Personal Data Protection Act (PDPA); experience in PDPA compliance is highly preferred.
2. Legal Administrator
2.1 Corporate Documentation and Registration: Handle corporate secretarial matters, including registration of changes to directors (appointment, removal, or rotation), company registration matters, preparation and updating of company affidavits, and submission of corporate documents to internal business units upon request.
2.2 Company Seal Control: Review and verify documents requiring the affixation of the company seal to ensure proper authorization and to mitigate risks associated with misuse of the company seal.
2.3 Document Control and Management: Oversee document control processes, including the preparation, organization, filing, retaining, and maintenance of company records, as well as coordinating submission of documents to the CEO for review and signature to ensure accuracy, completeness, and timely approval.
